Official Rules of GameChange Sweepstakes

NO PURCHASE NECESSARY TO ENTER, WIN, OR CLAIM A PRIZE. A PURCHASE, PAYMENT, OR DONATION WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING.

You are not authorized to participate in this Sweepstakes if you are not located within the fifty (50) United States or the District of Columbia. All Entrants must be eighteen (18) years of age or older or the age of majority in their state of residence (which is nineteen (19) in Alabama and Nebraska, twenty-one (21) in Mississippi, and eighteen (18) in all other states) as of the date of entry.

THESE RULES PROVIDE FOR INDEMNIFICATION OF THE SPONSOR AND OTHER RELEASED PARTIES BY YOU, A CLASS ACTION AND JURY TRIAL WAIVER, A REQUIREMENT THAT MOST DISPUTES BE SETTLED BY MANDATORY BINDING ARBITRATION, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. Sponsor. This GameChange Sweepstakes (this “Sweepstakes”) is sponsored by GameChange Holdings LLC, 2311 Highland Ave S., Suite 500, Birmingham, Alabama 35205 (“GameChange” or “Sponsor”) and administered by Harness Technologies, Inc., 201 E Kennedy Blvd, STE 1900, Tampa, Florida 33602 (“Administrator”). This Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with a social media platform (including but not limited to Facebook, Inc.).
2. Promotion Period. This Sweepstakes begins on August 22, 2024 at 12:00 AM ET and ends on November 21, 2024 at 11:59:59 PM  ET (the “Sweepstakes Period”) and includes fourteen (14) entry periods (each an “Entry Period”) as outlined in the chart below:

Non-winning entries from each Entry Period drawing will carry forward into any subsequent Entry Period drawings and be automatically entered into those drawings. The Administrator’s computer is the official time-keeping device for this Sweepstakes.

3. Eligibility. This Sweepstakes is open only to legal residents of the fifty (50) United States or the District of Columbia, who are eighteen (18) years of age or older or the age of majority in their state of residence (which is nineteen (19) in Alabama and Nebraska, twenty-one (21) in Mississippi, and eighteen (18) in all other states) as of the date of entry (an “Entrant”). Children under the age of eighteen (18) or the age of majority in their state are not eligible to participate. All federal, state, and local laws and regulations apply. Void outside of the fifty (50) United States or the District of Columbia, and where prohibited, or restricted by law. Officers, directors, managers, and employees of the Administrator (collectively the “Sweepstakes Entities”) are not eligible to participate. This Sweepstakes may only be entered in or from the fifty (50) United States or the District of Columbia, and entries originating from any other jurisdiction are not eligible for entry.
   
   Participation constitutes an Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions and interpretations, which are final and binding in all matters related to this Sweepstakes. For purposes of this Sweepstakes, an Entrant’s residential address and e-mail address will be the physical address and e-mail address submitted at the time of entry. Entrants will not be allowed to change their physical address or e-mail address. 

4. How to Enter. During the Promotion Period, individuals may enter an unlimited amount of entries using one of the following two methods:
   1. Payment Card Entry: During the Promotion Period, an eligible Entrant may enter this Sweepstakes by using his/her/their Mastercard (excluding Mastercard-branded credit and debit payment cards issued by Wells Fargo Bank, N.A.) or Visa card to make a qualifying purchase (“Payment Card Entry”). By making a Qualifying Purchase (as defined below) during the Sweepstakes Period, Entrant consents to entry into this Sweepstakes. Entries are evidenced by a game piece (a “Game Piece”). An Entrant will receive one Game Piece per qualifying purchase. A “Qualifying Purchase” is a purchase that has been processed and accepted by the merchant and has been authorized by such Entrant to be rounded up to the next dollar and processed through the Harness Technologies, Inc. platform; forty percent (40%) of which will be allocated toward this Sweepstakes prize pool (the “Prize Pool”), with fifty percent (50%) to be allocated toward a contribution to the Entrant’s designated college athletic department, and ten percent (10%) to be allocated to administrative fees. This purchase may, but will not necessarily, include tips, holds, and deposits related to the Qualifying Purchase. In addition, Sponsor or Administrator reserves the right to disqualify any Entrant attempting to enter through this method of entry whose transaction is rescinded, withdrawn, not completed, or otherwise not finalized prior to the awarding of a Game Piece. Entrant’s payment card must remain active, and in good standing through the Promotion Period and the awarding of the prizes.

   2. Alternative Method of Entry: An eligible Entrant may enter this Promotion without a purchase or Payment Card Entry. To enter by separate alternative free method of entry (“AMOE”), an Entrant must submit a piece of 3” x 5” paper with the program name “GameChange Sweepstakes,” such Entrant’s handwritten first and last name, complete home address (no P.O. Boxes), and e-mail address included on the paper. Mail to: Harness Technologies, Inc. C/O Gamechange, 2261 Market Street Suite 86129, San Francisco, CA 94114. No mechanically reproduced or photocopied entries accepted. Each AMOE entry must be mailed separately in a stamped envelope. Entries become the property of the Administrator upon receipt and will not be returned. Entries must be received by the Sweepstakes Period’s AMOE Entry End Date, when the Sweepstakes ends.
      
      MESSAGE AND DATA RATES MAY APPLY IF AN ENTRANT ENTERS THIS SWEEPSTAKES USING HIS/HER/THEIR MOBILE DEVICE. NOT ALL MOBILE TELEPHONES/WIRELESS PROVIDERS CARRY THE SERVICE NECESSARY TO PARTICIPATE IN THIS SWEEPSTAKES. AN ENTRANT SHOULD CONSULT THEIR WIRELESS PROVIDER’S PRICING PLANS. MOBILE ENTRY IS NOT REQUIRED TO ENTER OR WIN A PRIZE IN THIS SWEEPSTAKES.

5. Conditions Applicable to All Entries. Each time a Qualifying Purchase is made, an Entrant accrues a corresponding amount of round-up change in their balance (determined by rounding their purchase to the next whole dollar amount. AMOE entries do not accrue donation amounts). On the fifth day of each month, the total accrued round-up amounts of the prior month are charged to such Entrant’s applicable payment card. No charges are made to AMOE entries. The proceeds of the round up amounts will be allocated as fifty percent (50%) to the college athletic department indicated by such Entrant, forty percent (40%) to the Prize Pool, and ten percent (10%) to processing and administrative fees.
   
   This Sweepstakes is conducted in English. In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules and other statements contained in any Sweepstakes-related materials, including, but not limited to any entry form, survey, the Spanish version of these Official Rules (if applicable), and/or point of sale, television, print, or online advertising; the terms and conditions of these English Official Rules shall prevail, govern, and control. All federal, state, and local taxes are the sole responsibility of the prize winners. Any use of mechanical, robotic, repetitive, automatic, pre-printed, duplicated, programmed, script, macro, or any other automated means or similar entry methods or agents (including, but not limited to, contest-entry services or multiple or different e-mail addresses, identities, registrations, or logins) (each, a “Manipulated Entry”) is prohibited and will void all entries submitted by such Entrant if discovered by Sponsor or Administrator. Sponsor and Administrator reserve the right to disqualify Entrants from future Sweepstakes if such Entrant submits a Manipulated Entry. Entrants must use their own name. Sponsor and Administrator each reserves the right, in its sole discretion, to disqualify any entry at any time that in Sponsor’s or Administrator’s opinion does not comply with these Official Rules. Sponsor or Administrator are not responsible for lost, incomplete, damaged, illegible, late, or misdirected entries, or for errors in mechanical transmission, mail carrier service, unavailability of phone lines or connections, cellular phone service, or any other technical or physical malfunctions or inability to transmit messages or entries, AMOE or otherwise. Received entries become the property of Administrator and will not be returned or acknowledged.

6. Winner Selection. This is an instant-win sweepstakes where winners are determined at random at the time of entry verification. Each entry is randomly allocated a Game Piece evidencing the entry. A pre-selected number of the randomly issued Game Pieces are “instant-winner” Game Pieces (each, an “Instant-win Sweepstakes Game Piece”). Entrants who are randomly issued an Instant-win Sweepstakes Game Piece win the prize associated with that Instant-win Sweepstakes Game Piece subject to the conditions set forth in Section 7 (each, a “Conditional Winner”). See Section 8 of these rules for description of instant-winner prizes.

7. ‍Winner Notification and Verification. Administrator will attempt to notify the Conditional Winners by e-mail or by phone within ten (10) to fourteen (14) business days of the end of this Sweepstakes, or sooner, at Administrator’s discretion.  Each Conditional Winner must redeem the associated prize within ninety (90) business days of receiving notice they have won a prize. Sponsor and Administrator are not responsible for lost, delayed, misdirected, or returned prize notifications. Awarding of a prize is subject to verification of eligibility and compliance with these Official Rules. Conditional Winners may be asked to complete, sign, and return an Affidavit of Eligibility, Waiver of Liability, and Publicity Release form (TN residents need not sign Publicity Release) and, if so, must complete such forms within five (5) business days after receipt of such forms from Administrator. All activity arising out of and relating to this Sweepstakes, including any reference to an Entrant’s status as a “winner” or “Conditional Winner” is subject to verification and/or auditing for compliance with these Official Rules at Sponsor’s or Administrator’s discretion. By participating in this Sweepstakes Entrants agree to cooperate with Sponsor and Administrator concerning such verification and/or auditing. By entering or accepting a prize, each Entrant and each winner consents to Sponsor’s or Administrator’s use of his or her name, likeness, voice, opinions, information, biographical information, hometown, and jurisdiction of residence for publicity and promotional purposes without further compensation as permitted by law. (TN residents need not so consent.) If a Conditional Winner is not in compliance with these Official Rules, if a Conditional Winner does not redeem an instant win prize within ninety (90) business days of first notification attempt, if a prize notification or attempted notification is returned as undeliverable, if a Conditional Winner is deemed ineligible for any reason, if a Conditional Winner fails to sign and return required forms and provide required identification by the deadlines established by Sponsor or Administrator, or if a Conditional Winner declines a prize offered, the prize will be forfeited and will not be awarded.

   All Instant-win Sweepstakes Prizes are non-transferable or assignable and no substitutions or cash redemptions, except at Sponsor's or Administrator’s sole discretion or as otherwise, shall be provided. Sponsor or Administrator will not replace any lost or stolen prizes. In the case of unavailability of any prize, Sponsor or Administrator reserves the right to substitute a prize of equal or greater value. Odds of winning depend on the number of prizes remaining available at the time of entry and number of eligible Instant-win Sweepstakes Game Pieces distributed. The number of prizes available to be won will diminish as they are awarded. Depending upon the number of entries, all prizes may not be awarded. All branded gift card terms and conditions apply to the use of the prizes and are incorporated herein by reference. No more than the stated number of prizes set forth in these Official Rules will be awarded.

9. Disclaimer, Release, and Limitation of Liability. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any Entrant regarding this Sweepstakes, except as expressly set forth in these Official Rules. By participating in this Sweepstakes, Entrants and prize winners release the Sponsor and each and all of the Sweepstakes Entities, from any and all liability, damages, or causes of action (however named or described) with respect to or arising out of participation in this Sweepstakes, and/or the receipt or use/misuse of any prize awarded, including, without limitation, liability for personal injury, death or property damage. Entrants assume all risk of loss, damage, destruction, delay, or misdirection of Sweepstakes materials submitted to Sponsor and all of the Sweepstakes Entities.
   
   SPONSOR AND ADMINISTRATOR MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR YOUR PARTICIPATION IN THIS SWEEPSTAKES. BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS FACEBOOK, INC., INSTAGRAM, X FORMERLY KNOWN AS TWITTER, TIKTOK, OR ANY OTHER SOCIAL MEDIA PLATFORM, VISA, MASTERCARD, SPONSOR, ADMINISTRATOR, BENEFITTING ATHLETIC DEPARTMENTS, MARTIN C. SMITH AND THEIR SUBSIDIARIES, AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES, AND PRIZE SUPPLIERS, AND EACH OF THEIR RESPECTIVE PARENTS, AFFILIATES, AND SUBSIDIARIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR USED IN THIS SWEEPSTAKES; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THIS SWEEPSTAKES; (4) TECHNICAL OR HUMAN ERROR THAT MAY OCCUR IN THE ADMINISTRATION OF THIS SWEEPSTAKES OR THE PROCESSING OF ENTRIES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY THAT MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT’S PARTICIPATION IN THIS SWEEPSTAKES OR RECEIPT OR USE OR MISUSE OF ANY PRIZE.
   
   If for any reason, this Sweepstakes is not capable of running as planned, including infection by computer virus, tampering, fraud, technical failure, or any other cause that corrupts or threatens the administration, security, or integrity of this Sweepstakes, Sponsor or Administrator reserves the right, in its sole discretion, to terminate or suspend this Sweepstakes. If Sponsor or Administrator terminates this Sweepstakes, it will not select any winners after termination. If Sponsor or Administrator terminates or modifies this Sweepstakes, Sponsor will post notice on the official Sweepstakes website.

   CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ADMINISTRATOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. SPONSOR'S OR ADMINISTRATOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

10. Privacy. Administrator collects personal information from you when you enter this Sweepstakes. Administrator reserves the right to use any information collected in accordance with its privacy policy, which may be found at www.goharness.com/privacy.

11. Governing Law and Disputes. ANY CONTROVERSY OR CLAIM ARISING OUT OF, OR RELATING TO, THESE OFFICIAL RULES AND THIS SWEEPSTAKES (“CLAIM”) IS GOVERNED BY THIS SECTION, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF DELAWARE, AND THE FORUM AND VENUE FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES OR THESE OFFICIAL RULES SHALL BE IN THE COUNTY OF NEWCASTLE, DELAWARE. IF THE CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT MUST THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR MUST BE FOLLOWED, EXCEPT THAT THE ARBITRATOR MUST BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN DELAWARE. ANY CLAIM WILL BE ARBITRATED ON AN INDIVIDUAL BASIS AND MAY NOT BE CONSOLIDATED IN ANY ARBITRATION WITH ANY CLAIM OR CONTROVERSY OF ANY OTHER PARTY OR IN ANY FORM OF CLASS ACTION. THE REMEDY FOR ANY CLAIM WILL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT WILL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS’ FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

12. Class-Action Waiver. Entrants further agree that, except where prohibited by law, as a condition of participating in this Sweepstakes, any and all disputes and causes of action arising out of or connected with these Sweepstakes, including any Prize awarded, shall be resolved on individual basis, without resort to any form of class action, collective action, or mass action.  There will be no right or authority for any dispute to be brought, heard, or arbitrated as a class or collective action (“Class Action Waiver”).
    
    SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON THE ABILITY TO PURSUE CLASS ACTION REMEDIES, OR ON CERTAIN KINDS OF DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.

    FOR CALIFORNIA ENTRANTS: EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER AGAINST THE RELEASED PARTIES. SECTION 1542 READS AS FOLLOWS:

    “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

13. List of Winners. For the names of the winners (first name and last initial) of prizes valued at more than $250, send an email with “Winner Names GameChange Sweepstakes Request” in the subject line to sweepstakes@goharness.com to be received within sixty (60) business days of the end of the Promotion Period.
